I. Introduction

Welcome to alexjimenez.ca and its subdomains, including members.alexjimenez.ca and academy.alexjimenez.ca (together, the "Website"). The Website is owned and operated by WeBalloonz Inc., operating as Alex Jimenez ("we," "us," or "our"), a corporation registered in Ontario, Canada. We are thrilled to have you here!

We offer you access to our Services through the Website under these Terms and Conditions. By accessing or using the Website, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions and our Privacy Policy, which is incorporated by reference (together, this "Agreement"). If you do not agree with any of these terms, please do not use the Website.

II. Definitions

• "Agreement" means these Terms and Conditions, the Privacy Policy, and any other documents we provide to you through the Website.
• "Class," "Classes," "Product," "Program" mean the online classes, training, workshops, and digital resources offered through the Website.
• "Momentum" means our paid monthly online membership community, described in Section X-A.
• "Service" or "Services" mean any service described in this Agreement that we supply and that you request through the Website.
• "User," "you," and "your" mean the person accessing or using the Website or any Service.
• "Member" means a User who pays for a Service offered through the Website.
• "We," "us," "our," and "Company" mean WeBalloonz Inc., operating as Alex Jimenez.
• "Website" means alexjimenez.ca, all of its subdomains, and any successor website of the Company or its affiliates.
• "Member Account" means the account opened for a Member to access Services on the Website.
• "Subscription Fee" means the recurring fee a Member pays for a Subscription Plan.
• "Subscription Plan" means a recurring plan, such as Momentum, through which Members access Services.

III. Interpretation

• References to the singular include the plural and vice versa, and "includes" means "includes without limitation."
• Words referring to any gender include all genders.
• A reference to any law includes its regulations and any amendments or replacements in force from time to time.
• Headings, bold, and italics are for convenience only and do not affect the meaning of this Agreement.

IV. Commitment and Scope

Scope: These Terms govern your use of the Website and the Services. Unless stated otherwise, they do not apply to third-party products or services, which are governed by their own terms.

Eligibility: Our Services are not available to anyone under 18 or to any user we have suspended or removed for any reason.

Electronic communication: When you use the Website or email us, you are communicating with us electronically, and you agree to receive our replies electronically. Marketing emails are sent only with your consent, as described in our Privacy Policy, and you can unsubscribe at any time.

V. Our Services

At alexjimenez.ca (hosted on the GoHighLevel / LeadConnector platform), we offer live and pre-recorded educational classes, training resources, free resources, and the Momentum membership community. We offer a results-driven, high-energy, hassle-free way to learn online!

VI. Changes to these Terms

We may change, add to, or remove parts of these Terms (collectively, "Changes") at any time. We will post the revised Terms on the Website with a new "Last revised" date and, for material Changes, we may also notify you by email. For active subscriptions, material Changes to price or billing will be announced in advance by email, and you may cancel before they take effect. Your continued use of the Website after Changes are posted means you accept them.

VII. Account

To place an order, you will need to register during checkout. A customer account is created with the email address and password you choose. Your information is handled as described in our Privacy Policy.

You can browse parts of the Website without an account, but some resources require you to provide certain information and create a login.

You agree that the information you provide is accurate and that you will keep it up to date. You are responsible for keeping your login details secure and for all activity under your account. Please notify us immediately at [email protected] of any unauthorized use or security breach. We may suspend or terminate any account for a breach of these Terms.

VIII. Process and Delivery

Classes are delivered pre-recorded in the members' area unless stated otherwise. You can send questions by email to [email protected] or ask them live during coaching sessions.

There are no extensions, pauses, or changes to the access period for a class. Please check the program length and recording access period before purchasing. If you do not watch a class during its access period, we are not obligated to restore access after it expires.

If you have issues with your internet connection, picture, or sound, you can watch the recording later. If a technical problem is on our side, we will email you about the rescheduled release and your access to the recording.

IX. User Submissions and Content Responsibility

The Website, including the Momentum community, lets you post comments, questions, photos, feedback, and other content ("Content"). You are solely responsible for what you post, and you confirm you have the rights to post it. You keep ownership of your Content, but you give us a non-exclusive, royalty-free licence to host, display, and use it as needed to operate the Website and community.

Please do not post Content that:

• Contains rude, profane, abusive, racist, or hateful language; pornographic or tasteless material; or personal, racial, or religious attacks.
• Is defamatory, threatening, false, misleading, fraudulent, or contains unsupported claims.
• Violates anyone's privacy or is unreasonably harmful or offensive to any person or community.
• Discriminates on the basis of race, religion, national origin, gender, age, marital status, sexual orientation, or disability.
• Breaks or encourages breaking any municipal, provincial, state, federal, or international law.
• Uses another person's account or uploads viruses or other harmful files.
• Harasses another user, repeats the same message, or spams.

Sharing member posts and wins: By posting in the community or elsewhere on the Website, you allow WeBalloonz Inc., operating as Alex Jimenez, to share your posts, results, and wins in our marketing (for example, on our website, social media, and emails). We will identify you only by your first name or initials unless you give us additional consent. You can opt out, or ask us to remove something we have shared, at any time by emailing [email protected]. We will stop future use and remove it from places we control within a reasonable time.

We may remove any such Content. For repeated violations, we may cancel your access without advance notice.

X. Subscription and Payment

All payments are governed by these Terms. You agree to pay for the Product or Subscription Plan you choose and to provide true and accurate information.

Payment methods: Payments are processed securely through our checkout on the GoHighLevel platform by our payment processors, Stripe and PayPal. We accept the payment methods shown at checkout. We do not store your full card number.

Please notify us immediately if any details are incorrect. If your payment is declined, we will let you know.

When you buy a plan, you authorize us (or our payment processor) to charge you each time a payment is due under that plan. You confirm that you have the legal right to use the payment method you provide.

Subscriptions: If you buy a Subscription, you will be charged the Subscription Fee at the start of your subscription and at each renewal until you cancel. By subscribing, you accept that it has recurring payment features and that you are responsible for all charges before cancellation.

After your first purchase, you will receive a welcome email with your login details for the members' area.

X-A. Momentum Membership

Price and billing: Momentum costs US$29 per month, billed in US dollars. Your card is charged on the day you join and on the same day each month after that, until you cancel. Your bank may charge currency conversion fees if your card is not in US dollars.

Cancel anytime: You can cancel at any time from your account in the members area (members.alexjimenez.ca). If you have any trouble cancelling, email us at [email protected] and we will take care of it. Cancellation stops future charges. You keep access until the end of the billing period you have already paid for. We do not give refunds or credits for partial months, except where required by law.

Price changes: If we change the monthly price, we will email you at least 30 days before the new price applies to you, and you can cancel before then.

What's included: Momentum currently includes monthly quick-win content, live group calls (currently every other Tuesday at 7:00 PM Eastern Time, about 90 minutes), call replays, and access to the community. We may change the schedule, format, or content from time to time. Momentum is educational and does not guarantee any business result.

Community conduct: Momentum is a supportive space. Members agree to be kind and respectful, keep other members' information and posts confidential, not spam, sell, or recruit members for other offers without permission, and follow Section IX. We may remove posts and suspend or remove members who break these rules. Members removed for serious or repeated violations may not be entitled to a refund.

Live calls, recordings, and replays: Live calls usually run on Zoom, although the platform may change. Live calls are recorded and shared as replays with Momentum members. By joining a live call, you agree that your name, image, voice, and anything you share in the call or chat may appear in the recording. You can keep your camera and microphone off or use the chat if you prefer. Recordings are for members' personal use only and may not be downloaded, shared, or reposted. Replays become part of our rotating member content and usually stay available for about 3 months, after which they may be removed.

AI tools: Momentum may teach you how to use AI tools such as free versions of ChatGPT or Claude. These tools are run by third parties under their own terms and privacy policies. AI outputs can be wrong, incomplete, or unsuitable, and you are solely responsible for reviewing, checking, and how you use any AI output, including pricing, contracts, and marketing claims. Please do not enter other people's personal information into AI tools.

XI. Refund Policy

Except as stated for Momentum above or where required by law, all sales are final. Programs, courses, classes, and digital materials are non-refundable and non-exchangeable once purchased or once a billing cycle has processed. You are responsible for watching classes, using resources, and attending or viewing coaching sessions within your access period. Nothing in these Terms limits any rights you have under consumer protection laws that cannot be waived.

Coupons and discounts: Coupons, discount codes, or promotional credits must be applied at checkout. They cannot be applied after purchase.

Non-transferability: Payments cannot be transferred to other products, services, or people.

XII. Limited Guarantee

We give you the opportunity to access the Services offered on the Website. We do not guarantee that Service descriptions are always accurate, complete, current, or error-free. If a Service is not as described, contact us at [email protected] and we will work with you to resolve it.

XIII. Geographic Restriction

We may limit the use or supply of any Service to any person, region, or jurisdiction, and we may suspend any Service at any time. Any offer is void where prohibited.

XIV. Online Program Guidelines

• Programs should be completed within the access period; no extensions are given.
• For the best experience, watch on a laptop or desktop and use headphones!
• You may not copy, download, share, or upload our videos or content to any other platform. Doing so will lead to immediate loss of access and possible legal action.

XV. General Conditions

• We do not guarantee the absolute accuracy, completeness, or timeliness of the information we publish.
• The Website and its content are licensed to you on a limited, non-exclusive, non-transferable, non-sublicensable basis for your own learning. You may use what you learn in your own business, but you may not resell, share, or republish our materials.
• By using the Services, you agree to be bound by these Terms.

XVI. Your Commitments and Responsibilities

You agree that you will:

• Use the Website and Services only for lawful purposes and in line with all applicable laws.
• Not systematically collect data or content from the Website to build a database or directory without our written permission.
• Not use the Website to do market research for a competing business.
• Not impersonate any person or entity or use a false name.
• Not advertise or sell goods or services on the Website or in the community without permission.
• Not use viruses, hacking tools, scrapers, bots, or automated tools to access or interfere with the Website.
• Not misuse our support services or submit false reports.
• Not sell or transfer your account or profile.
• Not use our content to build a competing course, program, or product.

We may deny you access to the Website or any Service, and remove any content, for a breach of these Terms.

XVII. Exclusion of Liability

To the maximum extent permitted by law, we (A) do not guarantee the accuracy, completeness, or timeliness of information we or third parties publish, and (B) are not responsible for materials posted by third parties. Use your own judgment when evaluating any methods or offers.

To the maximum extent permitted by law, neither WeBalloonz Inc. nor its owners, directors, employees, contractors, agents, suppliers, or affiliates will be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, revenue, data, use, or goodwill, resulting from (i) your use of, or inability to use, the Services; (ii) any conduct or content of any third party, including other members; or (iii) unauthorized access to or alteration of your transmissions or content. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim.

XVIII. No Responsibility

We are not responsible to you for:

• Any reliance you place on material on the Website. Nothing on the Website is legal, tax, or financial advice.
• Any losses caused by the Website being unavailable.
• Any errors or omissions on the Website.
• Any losses from relying on comments, posts, or reviews on the Website.
• Unauthorized access to or loss of personal information that is beyond our reasonable control.

XIX. Third-Party Links and Tools

The Website may link to third-party websites and tools ("External Sites"), including AI tools and suppliers. These links are provided for convenience and are not endorsements. We are not responsible for External Sites, and you use them at your own risk and subject to their terms.

XX. Personal Information and Privacy

We collect, use, and protect your personal information as described in our Privacy Policy.

XXI. Errors, Inaccuracies, and Omissions

We make every effort to keep the information on the Website accurate. We apologize for any errors or omissions. We cannot promise that the Website will always be error-free, timely, or fit for a particular purpose, or that defects will be corrected.

XXII. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, INCLUDING THAT THE WEBSITE WILL OPERATE WITHOUT ERRORS OR THAT IT, ITS SERVERS, OR ITS CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. WE ARE NOT LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM THE USE OF, OR INABILITY TO USE, THE WEBSITE OR ITS CONTENT. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

WE MAY MAKE CHANGES, CORRECTIONS, OR IMPROVEMENTS TO THE WEBSITE AT ANY TIME WITHOUT NOTICE.

XXIII. Copyright and Trademark

All graphics, logos, photos, designs, videos, audio, text, templates, software, and other materials on the Website (the "Content") are owned by us or our licensors and are protected by copyright, trademark, and other laws. You may not use the Content except as this Agreement allows, without our prior written consent.

Our names, logos, and marks, including "Alex Jimenez," "Momentum," and "WeBalloonz," are our trademarks, whether registered or not. Other names on the Website may belong to others. Nothing grants you a licence to use our trademarks without our written permission.

XXIV. Indemnification

You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, contractors, successors, and assigns from any claims, actions, or demands, including reasonable legal and accounting fees, arising from your breach of this Agreement, your Content, or your misuse of the Content or the Website.

XXV. Miscellaneous

Severability: If any part of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest stays in effect.

Termination: We may suspend or end your access to the Services at any time for a breach of these Terms, or for any other reason with written notice. If we end a paid Service without cause, we will refund the unused part of any prepaid fees. If we end your access because you breached these Terms, you are not entitled to a refund, and any amounts you owe become due immediately.

Entire agreement: This Agreement is the entire agreement between you and us about its subject matter.

Governing law and jurisdiction: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Ontario, Canada have exclusive jurisdiction over any dispute, except where the consumer protection laws of your place of residence give you the right to bring a claim locally.

Force majeure: We are not liable for any failure to perform caused by events beyond our reasonable control, including natural disasters, power or internet outages, cyber-attacks, platform outages, strikes, or other force majeure events.

Assignment: We may assign or transfer this Agreement to any third party, including an affiliate or a buyer of our business, without your consent.
